Review the rules that govern use of the ClickInst tutoring platform for students and tutors.

Introduction

Welcome to ClickInst (“ClickInst”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the ClickInst online tutoring platform, mobile applications, and related services (collectively, the “Service” or “Platform”). By using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must refrain from using the Service.

These Terms apply to every type of user, including students, parents or guardians, and tutors. Specific features (for example, referral programmes or promotional trials) may carry extra terms. When we present additional policies, they become part of these Terms upon your acceptance.

1. Accounts and Eligibility

1.1 Account Registration

To access most features you must create an account and provide accurate, current, and complete information. You agree to:

  • Maintain updated profile details and promptly correct inaccuracies.
  • Keep your login credentials confidential. Accounts are personal—do not share credentials or use another person’s account.
  • Notify us immediately at `support@clickinst.pro` if you suspect unauthorised use, a security incident, or compromised credentials.
  • Complete any required onboarding steps, such as email verification, multi-factor authentication, or consent acknowledgements.

Student accounts are typically created by students or their guardians and include basic academic preferences. Tutors provide additional documentation so that we can verify qualifications, identity, and suitability.

1.2 Eligibility Criteria

By using the Service you represent and warrant that:

  • Legal capacity: You can enter into a binding agreement. If you are under the age of majority in your jurisdiction, a parent or legal guardian must review and accept these Terms on your behalf.
  • Children under 13: Individuals under 13 years old cannot register themselves. A parent or legal guardian must manage the account, communications, and tutoring arrangements on their behalf.
  • Parental responsibility for minors: Parents or guardians who register minors oversee use of the platform, supervise sessions, and help keep young users safe. We strongly recommend an adult be present or nearby during live sessions for users under 18.
  • Tutor age and status: Tutors must be at least 18 years old (or the applicable age of majority) and serve as independent contractors, not employees. Tutors remain responsible for their own business licences, professional obligations, and compliance with local laws.
  • Location and compliance: Our Services currently focus on Kuwait and the United Arab Emirates, though we may expand. You are responsible for ensuring that your use of the Service complies with the laws of your jurisdiction and that you do not use the platform in any territory where it is prohibited.
  • Previous bans and conflicts: You may not register if you were previously suspended or terminated, intend to compete unfairly, or plan to use the Service for purposes that violate these Terms or applicable laws.

We reserve the right to refuse registrations, terminate accounts, or restrict access if we identify misuse, false information, or failure to meet eligibility requirements.

2. Tutor Obligations and Responsibilities

If you offer tutoring services on the Platform, you agree to:

  • Provide truthful, complete, and up-to-date information regarding identity, qualifications, and experience.
  • Participate in identity verification, credential checks, and background screening (where legally permitted) and supply updated documents if we request periodic re-verification.
  • Prepare for sessions, deliver lessons punctually, and maintain a professional, respectful learning environment.
  • Use ClickInst-approved tools for communications, video sessions, file sharing, and payments unless we grant written permission to use alternatives.
  • Maintain confidentiality and request only the information necessary to tutor effectively. Avoid sharing personal contact details or encouraging off-platform communication unless expressly authorised.
  • Notify students (and guardians, where applicable) promptly when rescheduling or cancelling lessons, and avoid repeated last-minute cancellations or no-shows.
  • Comply with all applicable laws (including education, professional licensing, consumer, export, and tax laws) and uphold local cultural sensitivities.
  • Accept that ClickInst may monitor sessions or communications, to the extent permitted by law, for quality assurance, training, dispute resolution, or safety.
  • Recognise that students and guardians may rate or review your services. We may display aggregated feedback and share relevant comments to help you improve or to assist prospective students in selecting tutors.
  • Refrain from soliciting or accepting payments outside the Platform, from directing students to competing services, or from circumventing our fees. We may suspend accounts and withhold payouts to offset losses caused by off-platform transactions.
  • Maintain appropriate insurance, licences, or permits where required by law. You remain solely responsible for your independent contractor obligations, including taxes, social contributions, and record keeping.

3. Our Services and Role

ClickInst is an intermediary platform that connects students with independent tutors and provides tools for scheduling, messaging, collaboration, and payments. We are not a direct provider of tutoring services and we do not guarantee specific academic outcomes.

  • We strive to verify tutor credentials but cannot warrant the completeness or accuracy of every profile. Students and guardians should conduct their own assessments before booking.
  • Unless we explicitly state otherwise, we do not supervise lessons in real time. Tutors and students are responsible for showing up on time, maintaining appropriate conduct, and ensuring a safe learning environment.
  • We may review messages, lesson notes, or other content for compliance with our policies, to investigate complaints, or to support legal obligations.
  • We do not control or guarantee the conduct of students, parents, or tutors. However, we reserve the right to intervene when interactions violate these Terms or applicable law.

4. Payment Terms and Credits

Using the Service may involve fees for students and earnings for tutors. By engaging in transactions you agree to the payment terms below.

4.1 Student Payments

  • Pricing: Lesson costs or package prices are displayed on the Platform. Rates may be set by the tutor or by ClickInst depending on the programme. Listed prices include applicable platform service fees. Taxes such as VAT will be shown or included where required.
  • Booking and payment: When booking a lesson or purchasing credits, you authorise us (and our payment processors) to charge the specified amount to your chosen payment method. Unless explicitly stated otherwise, payment is due in advance. We may offer pay-per-lesson, subscription, or bulk credit models, but in all cases fees must be settled before services are delivered.
  • Payment methods: We accept supported payment methods such as credit/debit cards and other options made available in your region. By providing details you confirm you are authorised to use that method and that the information is accurate. We do not store full payment card details; accredited payment partners manage card data securely.
  • Platform fees: ClickInst may retain a service fee or commission within the advertised price. Receipts will identify the total paid and the related services. Tutors receive their share (see 4.2); the remainder supports platform operations.
  • Invoices and receipts: After payment we issue an electronic receipt or confirmation by email or in your account. Contact support if you require formal invoices, alternate formats, or have billing questions.

4.2 Tutor Earnings and Payouts

  • Earnings: Tutors earn fees for lessons completed through the Platform. Compensation may reflect rates you choose or rates designated by ClickInst for specific programmes. We disclose commission structures or service fees in your tutor dashboard or agreement.
  • Payout process: Provide accurate payout details (for example, bank account information or enrolment with our payment partner). Payouts generally occur after the lesson is completed and confirmed, or automatically after a dispute window closes. We may schedule payouts weekly or monthly, or apply minimum payout thresholds.
  • Refunds and adjustments: If a student obtains a refund or credit for a session already paid out, we may deduct the relevant amount from your future earnings or request reimbursement. Conversely, if a legitimate payout was missed or underpaid, we will correct it promptly.
  • Taxes and reporting: As an independent contractor you are responsible for assessing, collecting, and remitting any taxes owed on your earnings. We do not withhold taxes unless legally required. You agree to provide documentation if we must prepare tax forms or respond to authority inquiries.
  • Independent contractor status: Nothing in these Terms creates an employment, partnership, or agency relationship. Tutors do not receive employee benefits, insurance, or expense reimbursements from ClickInst.

4.3 Referral Programme and Credits

  • Earning credits: We may run referral programmes or promotional campaigns that award credits or discounts when eligibility criteria are met (for example, when an invitee completes their first paid session).
  • Use of credits: Credits have no cash value, are non-transferable, and are redeemable only on the Platform. Expiry dates, usage caps, or additional rules are communicated with the offer.
  • Fair use: You may not claim credits through fraudulent activity, self-referrals, unsolicited bulk messaging, or other abuse. We monitor for irregularities and may cancel credits, suspend accounts, or take other action if misuse is detected.
  • Programme changes: We may modify or discontinue referral incentives at any time. Credits already earned remain subject to the terms that applied when they were issued. We may run separate promotions or coupons with their own conditions; unless we state otherwise, promotions cannot be combined.

4.4 Cancellations and Refunds

We balance flexibility with fairness to tutors. Unless a specific programme includes different rules, the following applies:

  • Student cancellations: Cancel as early as possible (for example, at least 24 hours before the session) for a full refund or credit. Late cancellations or no-shows may be partially refunded or non-refundable depending on circumstances. We consider emergencies but reserve the right to enforce policies where repeated issues occur.
  • Tutor cancellations: If a tutor cancels or fails to attend, the student is not charged and any prepaid amount is refunded or credited. We help reschedule or find an alternative tutor. Repeated tutor cancellations or no-shows may result in disciplinary action.
  • Unsatisfactory service: If a lesson fails to meet reasonable expectations (for example, unprofessional behaviour or lack of preparedness), contact support promptly. We review cases individually and may provide courtesy credits or refunds while addressing the matter with the tutor.
  • Technical issues: If a session is disrupted by platform problems, we reschedule or provide credit. If connectivity issues occur on the user’s side, we encourage good-faith rescheduling. We assess unresolved disputes case-by-case and may provide partial credit depending on completed time.
  • Refund processing: Approved refunds are issued to the original payment method when possible. Alternative arrangements (such as platform credit) may be offered if the original method is unavailable. Referral or promotional credits are not redeemable for cash.
  • Abuse prevention: Frequent late cancellations, serial disputes, or attempts to exploit refund policies may lead to warning, suspension, or termination.

5. Acceptable Use Policy

By using the Platform you agree to uphold the following standards:

  • Comply with all applicable laws, regulations, and academic integrity requirements. Tutors help students learn concepts rather than complete assignments or exams on their behalf.
  • Maintain respectful, non-discriminatory, and harassment-free interactions. Hate speech, threats, exploitation, or inappropriate content (especially involving minors) is prohibited.
  • Protect user privacy; avoid collecting or sharing personal contact information without consent, and keep conversations on-platform unless we authorise otherwise.
  • Avoid spamming, advertising unrelated products, or engaging in multi-level marketing, recruitment, or solicitation activities.
  • Do not compromise platform security by introducing malicious code, reverse engineering, scanning for vulnerabilities, exploiting bugs, or deploying automated tools that overload our systems.
  • Do not impersonate another person, misrepresent affiliations, or create multiple accounts without permission.
  • Respect intellectual property. Upload only materials you have the right to use, cite sources when appropriate, and comply with copyright and licensing restrictions.
  • Report suspicious activity, abuse, or content violations to ClickInst promptly so we can investigate.

Violations may lead to removal of content, suspension, termination, and any other remedies available under law.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Platform (including interfaces, text, graphics, logos, icons, software, videos, and other materials) is owned by ClickInst or our licensors and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable licence to access and use the Service for personal, non-commercial purposes consistent with these Terms. You may not copy, modify, distribute, reverse engineer, or create derivative works unless expressly permitted in writing.

6.2 User-Provided Content and Licence

  • You retain ownership of content you create or upload (for example, lesson materials, assignments, messages, recordings, or reviews).
  • By submitting content to the Platform you grant ClickInst a worldwide, royalty-free, sublicensable licence to host, display, reproduce, adapt (for formatting or technical reasons), analyse, and distribute that content as needed to operate, improve, or promote the Service.
  • This licence continues while the content remains on the Platform and for a reasonable period afterwards to allow for backups, dispute resolution, legal compliance, or technical requirements.
  • You confirm that you own the rights necessary to share the content and that it does not infringe third-party rights or violate these Terms.

6.3 Third-Party Intellectual Property

We respect intellectual property rights. If you believe content on the Platform infringes your rights, contact us with sufficient detail (for example, a description of the infringing material, proof of ownership, and your contact information) so we can investigate and, where appropriate, remove or disable access to the material.

7. Disclaimers of Warranties

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not promise that the Service will be uninterrupted, error-free, secure, or that it will meet your expectations. Access to the Platform may be suspended for maintenance, upgrades, or events beyond our control.

8. Limitation of Liability

To the maximum extent permitted by law, ClickInst, its affiliates, directors, officers, employees, agents, suppliers, or licensors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, data, goodwill, or other intangible losses arising from your use of (or inability to use) the Service. Our total liability for any claim is limited to the greater of (a) the amount you paid to ClickInst for Services in the six months preceding the event giving rise to the claim, or (b) the minimum liability required by law. Some jurisdictions do not allow certain exclusions, so the above limitation may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless ClickInst, its affiliates, and their respective directors, officers, employees, agents, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of:

  • Your breach of these Terms or other policies.
  • Content you submit or activities conducted through your account.
  • Your interactions with other users, including disputes or claims related to tutoring sessions.
  • Your violation of any law or third-party rights.

We may assume exclusive defence and control of any matter subject to indemnification, and you agree to cooperate fully with our defence, including not settling any claim without our prior written consent. Your indemnification obligations survive termination of the Terms and your account.

10. Suspension and Termination

  • Voluntary closure: You may delete your account at any time through account settings or by contacting support. Outstanding bookings may be cancelled, credits or promotions may be forfeited unless required otherwise by law, and we may retain limited data as described in our Privacy Policy.
  • Investigation or suspension: We may suspend or restrict access while investigating suspicious activity, policy violations, or complaints. Suspensions can result in reinstatement, enhanced monitoring, or termination depending on the outcome.
  • Termination for cause: We may terminate access immediately for serious breaches (for example, fraud, harassment, safety risks, or legal violations) or after notice and an opportunity to cure when appropriate. Upon termination, your licence to use the Platform ends, and we may remove or anonymise your content subject to retention obligations.
  • Financial consequences: We may withhold unpaid earnings or credits to offset losses caused by misconduct, policy violations, or unresolved disputes. Legitimate earnings owed for properly delivered sessions remain payable unless linked to fraudulent or prohibited conduct.
  • Appeals: If you believe a suspension or termination was made in error, contact support and provide supporting information. We review appeals in good faith but maintain sole discretion over reinstatement decisions.
  • Surviving terms: Sections that logically survive termination (including payment obligations, indemnity, intellectual property, confidentiality, and dispute provisions) remain in effect.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Kuwait and, where relevant, the laws of the United Arab Emirates without regard to conflict-of-law rules, unless mandatory local law requires otherwise.

11.2 Jurisdiction and Venue

Courts located in Kuwait City, Kuwait (or, for UAE-specific services, the competent courts in the UAE) have exclusive jurisdiction over disputes arising from or related to these Terms, subject to any mandatory consumer protections or jurisdictional rights available to you.

11.3 Alternative Dispute Resolution

Where appropriate, we may invite you to participate in mediation, arbitration, or other alternative dispute resolution processes to seek efficient, good-faith resolutions. Participation is voluntary unless otherwise mandated by law or a separate written agreement.

11.4 Class Action Waiver

Unless prohibited by law, you and ClickInst agree to bring claims only in an individual capacity. Neither party may act as a plaintiff or class member in any purported class, consolidated, representative, or collective proceeding.

11.5 Overseas Use

If you access the Platform from outside Kuwait or the UAE, you do so voluntarily and are responsible for compliance with local laws. We do not guarantee that the Service is available, legal, or appropriate in every jurisdiction.

12. Miscellaneous Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and any additional policies or agreements expressly referenced, constitute the entire agreement between you and ClickInst.
  • Changes to Terms: We may update these Terms from time to time. Material changes will be communicated via the Platform, email, or other prominent notice. Continued use after updates signifies acceptance. If you do not agree, discontinue use and contact us regarding your options.
  • No waiver: Failure or delay by ClickInst to exercise any right or remedy does not waive that right or remedy. Any waiver must be in writing and signed by an authorised representative.
  • Severability: If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force.
  • Assignment: You may not assign or transfer your rights or obligations without our prior written consent. We may assign or transfer our rights in connection with a merger, acquisition, corporate restructuring, or sale of assets.
  • No third-party beneficiaries: These Terms are intended solely for the benefit of you and ClickInst. Unless expressly stated, no third party has rights to enforce any provision.
  • Force majeure: ClickInst is not liable for delays or failure to perform due to events outside our reasonable control, such as natural disasters, war, civil unrest, labour disputes, government actions, internet outages, or power failures.
  • Notices: We may deliver notices via email, in-platform messages, dashboards, or other reasonable methods. Keep your contact information current. Formal notices to us should be sent to `support@clickinst.pro` or to any postal address we designate.
  • Language: These Terms are provided in English. If we supply translations, the English version controls in the event of conflict or ambiguity.
